1 NATURE AND PURPOSE OF THE PLATFORM

1.1 Educational and Gamification Platform

The Platform is a virtual stock-market simulation and gamification platform designed primarily to:

• help users understand basic concepts associated with stock markets and trading;
• allow users to experience simulated buying and selling decisions;
• help users understand concepts such as price movements, gains, losses, market capitalization, demand, supply, valuation, short selling or downside positions where applicable to the Platform's simulation, and portfolio management;
• provide startup founders with an opportunity to showcase and discover their startups, applications, products, and businesses;
• create an interactive environment in which users can learn through simulated market activity;
• encourage discovery, competition, learning, and engagement through game mechanics.

1.2 Not a Real Stock Exchange

The Platform is not a stock exchange, securities exchange, brokerage, investment adviser, portfolio manager, depository, clearing corporation, or financial institution, unless expressly stated otherwise and legally authorised to provide such services.

The virtual securities, startup shares, prices, market values, portfolios, orders, transactions, rankings, and other financial representations displayed on the Platform are part of a simulation or gamified environment.

They do not represent actual securities, shares, ownership interests, equity, debt instruments, or financial assets unless expressly stated otherwise.

1.3 No Real Ownership

Purchasing or holding a virtual share, startup position, virtual asset, or simulated security on the Platform does not:

• give you ownership of the underlying startup or company;
• give you voting rights;
• give you dividends;
• give you a right to company profits;
• give you intellectual-property rights;
• create a shareholder relationship;
• create a partnership or agency relationship;
• create any legal or beneficial ownership interest in a company.

1.4 No Investment Advice

Information displayed on the Platform is provided for educational, informational, entertainment, and discovery purposes.

Nothing on the Platform constitutes:

• investment advice;
• financial advice;
• securities advice;
• tax advice;
• legal advice;
• a recommendation to purchase or sell any real security;
• an offer or solicitation to invest in any company.

Users should not treat simulated prices, rankings, performance, startup valuations, or game outcomes as predictions of real-world investment performance.

2 THE VIRTUAL STOCK-MARKET CONCEPT

2.1 Simulated Market

The Platform may provide users with a simulated market in which startups, applications, companies, projects, or other entities may be represented through virtual market instruments.

Users may be able to: buy virtual positions, sell virtual positions, increase or decrease positions, benefit from simulated price movements, experience simulated losses, compete with other users, build virtual portfolios, and participate in challenges or competitions.

2.2 Simulated Prices

Prices shown on the Platform may be determined by Platform algorithms, market mechanics, user activity, predefined rules, startup activity, demand and supply within the simulation, or other factors determined by us. Unless expressly stated, these prices are not actual market prices and should not be interpreted as the fair market value of any real company or security.

2.3 Startup Discovery

One purpose of the Platform is to help users discover startups and applications. Startup founders may use the Platform to create profiles, submit information, present products, provide descriptions, and participate in the simulated ecosystem. The presence of a startup on the Platform does not constitute an endorsement, investment recommendation, certification, verification, or guarantee by the Platform.

3 SIMULATED BUYING AND SELLING

3.1 Virtual Transactions

All transactions occurring within the simulated market are virtual transactions. A user buying a simulated share does not purchase a real share. A user selling a simulated share does not sell a real share. No transaction on the Platform transfers legal ownership of real-world securities unless we expressly introduce a separate, legally compliant service for that purpose.

3.2 Simulated Downside/Selling Strategies

Where supported by the Platform, users may be able to benefit from simulated downward price movements or participate in mechanisms that resemble short selling, bearish positions, or other trading strategies. Such functionality is purely simulated. Users acknowledge that simulated trading mechanics may differ materially from actual securities markets, including actual requirements relating to borrowing securities, margin, settlement, collateral, regulatory restrictions, taxes, brokerage fees, and market liquidity.

3.3 Market Rules

We may establish rules governing opening and closing prices, price movements, trading limits, order limits, transaction fees within the simulation, position limits, market hours, volatility, liquidity, leaderboard calculations, rewards, competitions, startup listings, market-capitalisation calculations, and other simulated market mechanics. These rules may be changed from time to time.

4 VIRTUAL COINS

4.1 What Are Coins?

The Platform may use virtual coins, credits, points, tokens, or similar units ("Coins") as an in-platform utility for specified features. Coins are platform-specific virtual units. Coins are not real currency, legal tender, bank deposits, securities, shares, cryptocurrency, investment instruments, or redeemable cash balances unless expressly stated otherwise.

4.2 Welcome Coins

Eligible new users may receive 100 Coins as Welcome Coins (or such other introductory amount as specified by the Platform). The Welcome Coins are provided as an introductory feature and may be subject to eligibility requirements, promotional rules, expiration rules, or other conditions communicated by the Platform.

4.3 Coins Are Not Mandatory

Users are not required to purchase Coins in order to use the Platform's core experience, except where a specific feature is expressly identified as requiring Coins. The Platform does not require users to purchase Coins merely because they are participating in the simulated market.

4.4 Users Can Continue Without Purchasing Coins

Users may continue participating using Coins earned through eligible activities, promotions, rewards, gameplay, or other mechanisms offered by the Platform. Where the applicable Platform rules allow it, a user may continue playing and participating without purchasing additional Coins.

4.5 Optional Coin Purchases

Where Coin purchases are available, they are optional. A user may purchase Coins only if the user chooses to do so. We will not represent that purchasing Coins is necessary to become successful on the Platform, win competitions, improve one's ranking, maintain an account, or continue participating.

4.6 No Requirement to Purchase Coins to Win

The Platform does not guarantee that users who purchase more Coins will have a greater probability of winning. Purchasing Coins does not automatically improve a user's trading skill, ranking, portfolio performance, or likelihood of winning.

4.7 Earning Coins

Depending on the Platform's current rules, Coins may be earned through successful simulated trading, challenges, achievements, daily activities, promotional campaigns, referrals, educational activities, and competitions.

4.8 No Cash Value

Unless expressly stated otherwise in writing by the Platform, Coins have no cash value and cannot be exchanged for cash, bank transfers, securities, cryptocurrency, or other monetary instruments.

4.9 No User-to-User Transfer

Coins may not be sold, transferred, exchanged, gifted, traded, or otherwise transferred between users unless such functionality is expressly enabled by the Platform.

4.10 No Refund for Used Coins

Once Coins have been used for a feature, transaction, entry, or other Platform functionality, they may not be refundable except where required by applicable law or expressly provided under the Platform's refund policy.

5 NO REAL-MONEY INVESTMENT

The Platform is designed so that users can experience market-like decision-making without putting actual investment capital into simulated securities.

A simulated profit is not a real financial profit, and a simulated loss is not a real financial loss.

The purpose of the Platform is to provide a controlled environment for learning, experimentation, startup discovery, competition, and entertainment. Users should not assume that success on the Platform means that they will achieve similar results in real financial markets.

6 REWARDS, WINNING AND LEADERBOARDS

6.1 Winning: Users may receive Coins, points, badges, rankings, recognition, virtual rewards, or other benefits based on Platform rules.

6.2 No Guaranteed Rewards: The Platform does not guarantee that any particular user will win. Past performance does not guarantee future results.

6.3 Leaderboards: Leaderboards may rank users based on simulated portfolio performance, gains or losses, trading activity, skill, challenge performance, points, or achievements.

6.4 Fair Competition: Users must not attempt to manipulate rankings or market mechanics through multiple accounts, bots, scripts, automated trading systems, collusion, or vulnerability exploitation.

7 STARTUP FOUNDERS

7.1 Founder Participation: Startup founders may submit their startup, application, website, product, or business for listing or discovery on the Platform.

7.2 Founder Responsibility: Founders are solely responsible for the accuracy and legality of information they submit. Information must not be false, misleading, fraudulent, or infringing.

7.3 No Investment Solicitation: A startup profile on the Platform does not automatically constitute an offer to sell securities or solicit investment.

7.4 Platform Independence: The Platform displays startup information without guaranteeing revenue, valuation, growth, profitability, funding, or future success.

8 MARKET CAPITALISATION AND VIRTUAL VALUATION

The Platform may display a simulated "market capitalisation" or similar valuation metric:

Such calculations are part of the Platform's simulation. They do not necessarily represent the actual valuation, enterprise value, equity value, or market capitalisation of a real company.

9 USER ACCOUNTS, ELIGIBILITY & PROHIBITED ACTIVITIES

9. User Accounts: Users are required to maintain accurate account details, protect login credentials, and avoid creating multiple accounts to manipulate rewards or rankings.

10. Age & Eligibility: The Platform imposes minimum age requirements based on applicable law. Users must not use the Platform where prohibited by law.

11. Prohibited Activities: Users must not engage in market manipulation, bot usage, software vulnerability exploitation, data scraping, or malware distribution.

10 FAIRNESS, PAYMENTS & INTELLECTUAL PROPERTY

12. Platform Integrity: We reserve the right to correct pricing or transaction errors caused by technical glitches.

13. Platform Changes: We may update rules, features, promotions, or market mechanics with appropriate notice.

14. Coin Purchases & Payments: Optional Coin purchases are processed through secure payment gateways. Purchases do not guarantee performance.

15. Third-Party Services: We are not responsible for third-party links, services, or founder websites.

16. Intellectual Property: All software, branding, UI designs, and algorithms are proprietary to OGStartups.

11 USER CONTENT, DISCLAIMERS & LIMITATION OF LIABILITY

17. User Content: Users grant OGStartups a non-exclusive license to host submitted startup information and content.

18. Disclaimers: The Platform is provided on an "as is" and "as available" basis without warranty of uninterrupted service.

19. No Financial Guarantee: Simulated success does not guarantee real-world financial performance.

20. Limitation of Liability: To the maximum extent permitted by law, OGStartups is not liable for indirect or consequential damages.

12 ACCOUNT TERMINATION, RESPONSIBLE USE & PRIVACY

Accounts violating legal terms or engaging in fraud will be suspended. Your use is also subject to our Privacy Policy.

13 GRIEVANCE REDRESSAL & GOVERNING LAW

These Terms shall be governed by the laws applicable in India, with dispute jurisdiction residing in the courts of New Delhi, India.

14 USER ACKNOWLEDGEMENT

By using OGStartups, you acknowledge that:

1. This is a simulated and gamified stock-market experience.
2. Virtual shares are not real shares unless expressly stated otherwise.
3. Virtual market capitalisation and prices are simulated values.
4. The Platform helps users learn stock-market concepts without risking real investment capital in the simulated market.
5. Startup founders can use the Platform as a discovery and visibility channel for their applications and businesses.
6. Coins are virtual Platform units.
7. Eligible users may receive Welcome Coins or another promotional amount specified by the Platform.
8. Users are not required to purchase Coins simply to participate in the Platform.
9. Users may continue using the Platform with Coins earned through eligible activities.
10. Coin purchases, where available, are optional.
11. Purchasing more Coins does not guarantee winning, better rankings, or better simulated performance.
12. Coins do not represent cash, securities, investments, or ownership in any startup.
13. Simulated profits and losses do not represent actual financial profits or losses.
14. The Platform does not provide investment advice or guarantee financial returns.
15. Users are responsible for complying with applicable laws when using the Platform.
